These Terms and Conditions ("Terms") govern your access to and use of the Pendant Automation, LLC ("Pendant") website at getpendant.io and the Revolution St. platform. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of terms
By using our website or platform, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. If you are using our services on behalf of a company or other entity, you represent that you have authority to bind that entity.
2. Services
Pendant provides industrial automation engineering services and the Revolution St. warehouse execution platform. Specific terms applicable to platform subscriptions and professional services engagements are set out in separate agreements (Statements of Work, Order Forms, or Master Service Agreements) which supplement these Terms.
3. Permitted use
You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the services in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of our systems
- Interfere with or disrupt the integrity or performance of the services
- Reverse engineer, decompile, or disassemble any part of our platform
- Use our services to transmit any harmful, offensive, or unlawful content
4. Intellectual property
All content on the Pendant website and within the Revolution St. platform — including software, text, graphics, logos, and documentation — is owned by Pendant or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you ownership of any Pendant intellectual property. You may not reproduce, distribute, or create derivative works from our content without express written permission.
5. Your content
You retain ownership of data and content you upload to our platform. You grant Pendant a limited license to process that content as necessary to provide the services. We will not use your operational data for any purpose other than delivering and improving the services you receive.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services, and to use such information only for the purpose of performing its obligations under these Terms or any applicable agreement.
7. Disclaimer of warranties
THE WEBSITE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PENDANT DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE REVOLUTION ST. PLATFORM WARRANTIES ARE SET OUT IN YOUR SUBSCRIPTION AGREEMENT.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENDANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE OR PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PENDANT IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Pendant and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising from your use of the services or your breach of these Terms.
10. Governing law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Harford County, Maryland, and you consent to the personal jurisdiction of those courts.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice before taking effect. Continued use of the services after the effective date constitutes acceptance of the revised Terms.
